About this page

A plain-English guide. Each guide ends with real examples and an "Explain it like I'm 13" section.

How to read it

Form 4
The form a company insider (officer, director or owner of more than 10%) must file with the SEC within two business days of buying or selling the company's shares.
13F
A quarterly list of U.S. stocks held by an investment manager with more than $100 million, filed within 45 days after each quarter ends.
STOCK Act
A 2012 law that requires members of Congress to report stock trades by themselves, a spouse or a dependent child within 45 days.

A real example

In January 2016, when bank stocks were falling, JPMorgan Chase CEO Jamie Dimon bought 500,000 JPMorgan shares with his own money, worth about $26 million. His Form 4 made the purchase public within days, and investors read it as a strong sign of confidence.

13F Filing Deadlines

A 13F is due 45 days after each quarter ends, moved to the next business day if that falls on a weekend or holiday. Here are the next four deadlines and what to expect around them.

The rule

A manager must file its 13F within 45 days after the end of each calendar quarter. When the 45th day falls on a Saturday, Sunday or federal holiday, the deadline moves to the next business day. The holdings in the filing are the ones held on the last day of the quarter, so the deadline only decides how late the public sees them.

The next four deadlines

Quarter Holdings as of 45th day Deadline
Q3 2026 September 30, 2026 Saturday, November 14, 2026 Monday, November 16, 2026
Q4 2026 December 31, 2026 Sunday, February 14, 2027 Tuesday, February 16, 2027 (Monday the 15th is Presidents Day)
Q1 2027 March 31, 2027 Saturday, May 15, 2027 Monday, May 17, 2027
Q2 2027 June 30, 2027 Saturday, August 14, 2027 Monday, August 16, 2027

What happens around a deadline

Filings trickle in for the first few weeks after the quarter ends, then arrive in a rush during the last two or three days. Many of the best-known managers file on the final day or the day before. Amendments follow for weeks afterward, as managers correct errors or add positions that had been kept confidential.

WallStPal checks EDGAR every day. When a fund we track files, its page updates and the quarterly report adds it.

Why the timing matters

The 45 days are a cost for anyone trying to follow a fund. A stock bought on the first day of the quarter can be almost four and a half months old by the time it shows up. A fund may also have sold a position after the quarter ended and before the filing came out. Always check the “as of” date before reading anything into a 13F.

Examples

Second quarter of 2026. The deadline for holdings as of June 30, 2026 was Friday, August 14, 2026, a business day, so no adjustment was needed. Berkshire Hathaway and Bridgewater Associates both filed that day, and Renaissance Technologies filed one day earlier, on August 13. Pershing Square’s filing for the first quarter of 2026 also came on the deadline day, May 15, 2026. Last-day filing is normal for large managers.

A weekend deadline. For the third quarter of 2026, 45 days after September 30 is Saturday, November 14. The SEC’s rules move the deadline to Monday, November 16. Expect most big-name 13Fs to appear between Thursday, November 12 and that Monday, and our Q3 2026 report to fill in over the following days.

Explain it like I’m 13

Say your teacher wants a photo of your bedroom on the last day of every school term. You don’t have to send it right away. You have 45 days. If day 45 is a Saturday, you get until Monday.

So when the teacher finally looks at it, your room might look completely different. The photo shows how it was, not how it is. A 13F is that photo for a fund’s investments, and the deadline is the day the photo is due.

Put the dates in your calendar

The days just before each deadline are when the most interesting filings arrive. Our newsletter covers the biggest changes in the week after each one.
