About this page
Dates when early owners of newly public companies are first allowed to sell, usually about 180 days after the IPO.
How to read it
- IPO
- Initial public offering: when a company first sells shares to the public.
- Lock-up
- A promise by insiders and early investors not to sell for a set time after the IPO.
A real example
Facebook went public in May 2012. When its lock-ups ended over the following months, hundreds of millions of shares became free to sell.
Explain it like I'm 13
When a new game comes out, the people who made it promise not to sell their own copies for six months. When that promise ends, lots of copies can hit the market at once.

How we find these
We look for a final IPO prospectus (Form 424B4) filed around the same time as several initial insider statements (Form 3), which insiders file when a company first lists. We then add 180 days, the most common lock-up period. Some lock-ups are shorter, longer, or end early if the stock does well, so always check the prospectus.
Examples
Facebook, 2012. Facebook listed in May 2012 with lock-ups that ended in stages. When a large one expired in November 2012, about 777 million more shares became eligible for sale. Lock-up dates were widely watched as possible pressure on the stock.
Explain it like I'm 13
When a new store opens and gives its staff some shares, there is often a rule: you can't sell them for six months. This calendar shows when that six months ends for new companies, because that's when a lot of staff might sell at once.
